Corporate Governance

De Nora's corporate governance system plays a crucial role in the transparent and responsible running of business operations. It contributes significantly to creating sustainable medium/long-term value for shareholders and other stakeholders, keeping with the best practices of corporate social responsibility applicable in all countries in which De Nora operates. The corporate governance system complies with the principles outlined in Borsa Italiana S.p.A.'s Corporate Governance Code and the legislation and regulations governing Italian listed companies.

It is based on four pillars:

  • the pivotal role of administrative and control bodies;

  • the effectiveness and transparency of management decisions;

  • the careful and diligent monitoring of related-party transactions;

  • the set of values defined, recognized, shared, and established in the Code of Ethics and company policies.

Board of Statutory Auditors

The Board of Statutory Auditors was appointed by Industrie De Nora's ordinary Shareholders' Meeting by resolution of April 29, 2025, for a period of three financial years, i.e., until the approval of the financial statements for the year ending December 31, 2027, and consists of:

Supervisory Body pursuant to Legislative Decree 231/01

On May 13, 2025, the Board of Directors appointed the Supervisory Board for the next three years, i.e. until the approval of the financial statements for the year ending December 31, 2027. The members of the Supervisory Board are Mr Gianluca Sardo (Chairman), Ms Giuliana Converti and Mr Claudio Vitacca.

Audit firm

On February 18, 2022, the Shareholders' Meeting of Industrie De Nora S.p.A. appointed PricewaterhouseCoopers S.p.A., with registered office in Milan, Piazza Tre Torri, 2 (“PwC”), as the company responsible for auditing the Group’s financial statements for the financial years 2022 to 2030. PwC is also the auditor for Sustainability Report pursuant to Legislative Decree 125/2024, relating to the Reporting for the financial years 2024 to 2030.

PwC is registered in the register of statutory auditors according to Legislative Decree No. 39 of 2010, as amended by Legislative Decree No. 135 of 2016 with registration number 119644
