Milan, June 6th 2022 – Industrie De Nora S.p.A. (the “Company”, and jointly with its subsidiaries, the “Group”), an Italian multinational company, supplier of technologies, equipment and components for the most important industrial electrochemical processes, plants and systems for disinfection and water treatment and innovative solutions for energy transition and in particular of systems and components for the production of green hydrogen through water electrolysis process, announces its intention to proceed with the listing of its ordinary shares (the "Shares") on Euronext Milan, a regulated market organized and managed by Borsa Italiana S.p.A. ("Euronext Milan").
The offering (the “Offering”) will be composed of a private placement reserved for qualified investors in Italy and institutional investors outside the United States in offshore transactions pursuant to Regulation S of the United States Securities Act of 1933, as amended (the “Securities Act”), and, in the United States of America, limited to “qualified institutional buyers” pursuant to Rule 144A of the Securities Act, with the exclusion on any country in which the offer of financial instruments is not permitted without specific authorization of the relevant authorities, in accordance with applicable laws or by way of exception to such provisions.
It is further envisaged that the Offering will consist of (i) newly issued ordinary shares of the Company arising from a capital increase with the exclusion of pre-emptive rights (the "Capital Increase") and, (ii) existing ordinary shares offered for sale by the following shareholders of the Company: (a) the De Nora family, through their respective special purpose vehicles Federico De Nora S. p.A. and Norfin S.p.A., and (b) Snam S.p.A, through Asset Company 10 S.r.l. (the "Selling Shareholders"), with a free float above the minimum requirement of Borsa Italiana (including the greenshoe option).
The total number of Shares to be offered in the Offering, in addition to other relevant terms, will be determined prior the launch of the Offering. The Offering is also expected to include a so-called greenshoe option.
It is also expected that the Company, Selling Shareholders, directors and key managers will enter into lock-up commitments with respect to their holdings in the Company's share capital, effective for a predetermined period of time following the Offering, in line with market practices and subject to customary exceptions and waiver by the joint global coordinators.
The net proceeds from the Capital Increase will be used by the Company to support the implementation of its strategic objectives, and in particular, to fund its future organic growth (as described in the approved business plan for 2022-2025), to fund any acquisition of compatible and synergic companies and to strengthen its share capital. Eventually, the Company will consider opportunities of external growth strategies.
The Offering is expected to be completed by the end of June 2022, subject to market conditions at the time and upon the receipt of the consent in relation to the admission to listing by Borsa Italiana S.p.A. and the approval of the prospectus by Consob. Credit Suisse and Goldman Sachs International are acting as joint global coordinators and joint bookrunners, BofA Securities, Mediobanca and UniCredit are acting as joint bookrunners. Mediobanca is also acting as sponsor in connection with the listing the Shares on Euronext Milan. Latham & Watkins is acting as legal advisor to the Company, while Clifford Chance is the legal advisor to the joint global coordinators and joint bookrunners.
