Partial exercise of the Greenshoe Option and Post stabilization announcement

Milan, July 29th, 2022 – Industrie De Nora S.p.A. informs that Credit Suisse Bank (Europe) S.A., acting as the stabilisation agent, also on behalf of joint global coordinators, has communicated the intention of partially exercise the greenshoe option for 502,169 shares, out of the 5,261,352 option shares granted by the selling shareholders, Federico De Nora S.p.A., Norfin S.p.A, and Asset Company 10 S.r.l.. Therefore this will mean the redelivery to the selling shareholders of 4,759,183 ordinary shares lent for the purpose of the over-allotment.

The purchase price of the option shares is Euro 13.50 per share, equal to the offer price, for an aggregate consideration of approximately Euro 6.78 million. Payment of the options shares and return of 4,759,183 ordinary shares lent for the purpose of the over-allotment will take place on 2 August 2022.

Including the shares from the greenshoe option, the Offering consists therefore of n. 35,577,851 ordinary shares, for a total amount of Euro 480.3 million. With the exercise of the greenshoe option, the stabilisation period ends with immediate effect.

Additionally, Industrie De Nora S.p.A.– upon communication by Credit Suisse Bank (Europe) S.A. acting as the stabilisation agent in connection with the IPO of Industrie De Nora S.p.A. shares on Euronext Milan – communicates that Credit Suisse Bank (Europe) S.A., or any of its affiliates, has undertaken stabilisation transactions (as defined in Article 3.2(d) of the Market Abuse Regulation (EU/596/2014)) in relation to the offering of the following securities, as set out below.
